Terms of Service — Datafirefly Ads

1. Provider

Datafirefly Ads is a SaaS service provided by Datafirefly Limited, a private company limited by shares incorporated in Ireland under Companies Registration Office (CRO) number 810100, with registered office at 15A Main Street, Blackrock, Dublin, A94 T8P8, Ireland.

2. Service description

Datafirefly Ads helps agencies and direct advertisers manage and optimize Google Ads and Meta Ads campaigns. Features include:

  • Pre-publish audits (cross-platform consistency, brand-voice compliance, regulatory checks)
  • Multi-country campaign launches with templating
  • Post-launch monitoring and ROAS attribution
  • Brand-voice compliance scoring across creative assets
  • Offline conversion uploads of net-margin values to Google Ads and Meta CAPI
  • Reverse CAPI: automated daily ingestion of paid orders → net-margin → upload to Ads platforms

3. Account & access

You must provide accurate registration information and keep your password confidential. You are responsible for all activity under your account. We reserve the right to suspend accounts in violation of these Terms or applicable laws.

Multi-tenant: each Datafirefly Ads account corresponds to one company / agency. Authentication via email + password (argon2id hashing) and optionally OAuth via Google/Meta.

4. Your data, your responsibility

You retain full ownership of all advertising and e-commerce data you connect to Datafirefly Ads. You grant us a limited license to process this data solely to provide the service, as detailed in our Privacy Policy.

You are responsible for compliance with the policies of platforms you connect (Google Ads policies, Meta Advertising Standards), including consumer protection law (e.g. French regulated terms like "soldes" outside legal windows, German Schlussverkauf, Italian saldi) and brand-voice obligations.

5. Subscription, billing, trial

  • Plans are billed monthly via Stripe
  • A free trial period may be offered at signup
  • You can cancel at any time from the billing page; access continues until the end of the current billing period
  • No refunds for partial months unless required by applicable law
  • Standard subscription model — no fixed-term commitment (different from Datafirefly Ltd corporate B2B contracts which may have 12-month commitments)

6. Acceptable use

You agree not to:

(a) Use the service for unlawful or fraudulent advertising
(b) Attempt to circumvent rate limits or security controls
(c) Reverse-engineer the service
(d) Resell access without our written consent
(e) Use the service to violate third-party advertising platform policies (Google, Meta) — repeated violations may result in suspension

7. Service availability & SLA

We target 99.5% monthly uptime. Scheduled maintenance is announced via in-app banner and email at least 48 hours in advance.

We are not liable for downtime caused by upstream providers (Google Ads API, Meta API, Stripe, Cloudflare, Hetzner). When such outages occur, the impacted features are temporarily unavailable but no service credit is due.

8. Liability

To the maximum extent permitted by law, our aggregate liability for any claim arising from the service is capped at the amount you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages, including but not limited to:

  • Lost ad spend
  • Lost revenue or profit
  • Lost clientele
  • Reputational damage

This limitation does not apply in case of: (a) gross negligence or wilful misconduct, (b) personal injury, (c) violation of GDPR obligations attributable to Datafirefly Ads.

9. Changes

We may update these Terms from time to time. Material changes (price increase >10%, new mandatory restrictions, change of governing law) will be communicated by email at least 30 days before they take effect. You may cancel your subscription within this period without penalty.

10. Force majeure

Neither party is liable for failure to perform due to events beyond its reasonable control, including: natural disaster, war, pandemic, general strike, major failure of public infrastructure (electricity, telecommunications), governmental decision, or major outage of a critical third-party provider (AWS, Stripe, etc.).

11. Governing law

These Terms are governed by the laws of Ireland. Any dispute is submitted to the exclusive jurisdiction of the courts of Dublin, Ireland, after a 30-day amicable resolution attempt.

12. Severability

If any provision of these Terms is held invalid by a competent court, that provision is deemed unwritten and the remaining provisions retain their full effect.
